Bee Socials Token Contribution Terms

The BeeSocials Token Contribution Terms governs your use of the BeeSocials website (https://ico.beesocials.com/) and the BeeSocials Smart Contract System during the Public Contribution Periods and early investment window. Please read the following terms carefully. By making a contribution to BeeSocials for BEE Tokens you are agreeing to be bound by the terms set out below. If you do not agree with the terms, please do not make a contribution for the purchase of BEE Tokens.

BeeSocials International Limited (hereon in referred to as ‘BeeSocials’) is a registered company in the United Kingdom. It is a platform connecting you to local events happening in homes around you. Please refer to the Bee Socials website (www.ico.beesocials.com) where you can find a more detailed description and the White Paper.

Please note that the BEE tokens are not intended to constitute securities in any jurisdiction and this document does not constitute to be a prospectus of any sort, is not a solicitation for investment or an initial public offering or share/equity offering and does not pertain in any way to an offering of securities in any jurisdiction. We are not responsible for withholding, collecting, reporting, or remitting any sales, use, value added, or similar tax arising from your purchase of BEE Tokens (BEE).

1. Tokens

1.1 BeeSocials has created its own proprietary Tokens called BEE Tokens based on the ERC20 token standard. Tokens shall be created and issued through the Smart Contract System on the Ethereum Blockchain and manually distributed to investor participating in the early investment window.
1.2 Total amount of Tokens: 20% of BEE Tokens issued will be held by BeeSocials, 10% allocated for bounties and 70% of Tokens will be allocated during the early investment window and Contribution Periods to be held by Contributors.

2. The Smart Contract System and Token Distribution

2.1 The Smart Contract System shall be used to create Bee Tokens, receive contributions and issue BEE Tokens for a defined periods of time only (“Public Contribution Periods”).

2.2 The Token Public Contribution Period shall be of a pre-sale and ICO as follows:

2.2.1 Presale will commence on November the 11th at 00:01 BST and end on December 9th 2017 at 23:59 or upon depletion of BEE tokens, whichever is earlier.
2.2.2 The ICO will commence on January 6th 2018 at 00:01 and shall end on February 3rd 2018 at 23:59 or upon depletion of BEE tokens, whichever is earlier.

2.3 During the contribution period (as set out in 2.2) contributions can only be made in ETH via the smart contract system. Contributions made in fiat currencies or any other Crypto-currencies will be not be accepted by the Smart Contract System.

2.4 The Contributor shall initiate the creation and issue of BEE Tokens by transferring an amount in Ether (“ETH”) during the Contribution Period (as detailed in 2.2) to the Smart Contract System, located on the Ethereum Blockchain at the address published on www.ico.beesocials.com. On receipt of Ether, the Smart Contract System will create and issue BEE Tokens to the Ethereum wallet that the contribution was received from.

2.5 Contributions can only be accepted through the Smart Contract System at the address detailed in 2.4 during the Contribution Period. Contributions sent via a third party website, service or other Smart Contract risk losing their entire contribution and BeeSocials shall not be responsible or liable for recovering or returning any such contributions.

2.6 In order for the Smart Contract System to issue BEE Tokens, the contributor must send contributions from an Ethereum wallet that supports the ERC20 Token Standard.

2.7 All Contributions received by the Smart Contract System shall be the sole and exclusive property of BeeSocials to be used at its discretion in the development of the BeeSocials platform and any operational uses as it sees fit.

2.8 BeeSocials has endeavored to create a Smart Contract System that is approved by technical experts and the Smart Contract System has been designed in accordance with industry best practices. Smart contract technology is still in the early development stages of its cycle and therefore carries some risk such technological, operational and regulatory. You acknowledge such risks when agreeing to these terms.

2.9 There will be a small early investment window open to investors, where contributions will be accepted in a number of cryptocurrencies. There will be a limited supply of BEE tokens allocated for this window; see www.ico.beesocials.com for further details.

3. Token Price

3.1 BeeSocials shall issue 80,000,000 BEE Tokens as part of the token sale described in this document at the price of $0.30. Throughout the early investment window and the public contribution period, there will be various bonus tokens rewarded. The details of such bonus amounts will be published on www.ico.beesocials.com.

4. Minimum Target

4.1 Bee Socials has set a minimum target of USD 150000 for the Initial Coin Offering during the ICO (2.2.2). If on conclusion of the ICO, the Smart Contract System has received less than the minimum amount, Bee Socials shall endeavor to return contributions to the Ethereum Wallet address it was received from, minus any cost of Gas.

5. Refunds and cancellations

5.1 Contributors shall not be entitled to a refund of Ethereum from BeeSocials once the contribution has been received by the Smart Contract System unless required by applicable law.
5.2 BeeSocials reserves the right to refuse or cancel any Token Contributions at its sole discretion.

6. Suspension or Termination of Contributions

6.1 Bee Socials may temporarily suspend or permanently terminate the Public Contribution period for security reasons. Bee Socials will notify contributors of any such action through the publication of a notice on www.ico.beesocials.com.
6.2 Following such a notice, contributions will no longer be received by the Smart Contract System. If a contributor attempt to send a contribution, they risk losing their contribution. Bee Socials shall not be responsible for recovering or returning any such contributions.

7. Security

7.1 The contributor is responsible for implementing reasonable and appropriate measures to secure the wallet or other storage mechanism used to receive and store BEE Tokens issued by the Smart Contract System. In the event the contributor in unable to access their wallet or storage mechanism, they may lose all of their BEE Tokens. BeeSocials is not responsible for any security measures relating to the store and access of BEE Tokens once they have been issued to the Contributor and shall not be responsible for recovering any such BEE Tokens.

8. Token Functionality

8.1 BEE Tokens carry a limited potential future right or expectation to use and interact with the BeeSocials platform. BEE Tokens carry no other rights, uses, purposes, attributes, and functionalities or features whether express or implied.
8.2 Tokens do not represent an ownership right, stake, share, equity, security, commodity, bond, debt instrument or any other financial instrument indicating such a right. Protections offered by applicable law in relation to this shall not apply to any contribution made under these Contribution Terms for the purchase of Tokens or to your holding or sale of Tokens.
8.3 BEE Tokens do not carry a right to any future revenues or shares in BeeSocials.
8.4 BEE Tokens are not a legal form of tender and do not represent money.
8.5 BeeSocials makes no warranties, representations or assurances that the BEE Tokens shall confer any actual and/or exercisable rights of use, functionality, features, purpose or attributes in connection with the BeeSocials Platform.

9. Requests of Information
9.1 BeeSocials may deem it necessary to request information from the Contributor at any time as required by applicable law or regulations. The Contributor agrees to provide any information requested immediately. Information can include but is not limited to a passport, Driving License, utility bills and photographs. BeeSocials may refuse to contributions until the required information has been received

10. Indemnity
10.1 To the extent permitted by all applicable law, the contributor agrees to indemnify, defend and hold harmless BeeSocials from and against any and all proceedings, claims, damages, demands, expenses and actions that arise from or relate to; (i) Contributors purchase or use of BEE Tokens; (ii) Contributors responsibilities or obligations under the Token Contribution Terms; (iii) Contributors breach of the Token Contribution Terms; (iv) any inaccuracy in any representation or warranty of the contributor; (v) Contributors violation of any rights of any other person or entity; and/or (vi) any act or omission of Contributor that is negligent, unlawful or constitutes willful misconduct.

10.2 BeeSocials reserves the right to exercise sole control over the defense, at the cost and expense of the Contributor, of any claim subject to indemnity set out in clause 10.1. This indemnity is in addition to, and not in lieu of, any other remedies that may be available to BeeSocials under applicable law.

11. Disclaimers
11.1 The Contributor acknowledges and understands that the Contributor is using the Smart Contract System and makes contributions in return for BEE Tokens at the Contributors sole risk.
11.2 BEE Tokens are issued on an “as is” and “as available” basis without any warranties or representations of any kind, whether express or implied. BeeSocials expressly disclaims all representations and warranties, express, implied or statutory.
11.3 BeeSocials does not represent or warrant that the BEE Tokens are reliable, current or error-free and does not warrant or represent that Tokens or the delivery mechanism for Tokens are free of viruses or other harmful components.
11.4 These Contribution Terms and all other document referred to within these Contribution Terms and the White paper do not constitute a prospectus or offering document and are not an offer to sell, nor the solicitation to offer to buy an investment, a security or commodity.

12. Limitation of Liability
12.1 To the fullest extent permitted by applicable law, the Contributor disclaims any right or cause of action against BeeSocials and its employees of any kind in any jurisdiction that would give arise to any damages whatsoever, on the part of BeeSocials and its employees.
12.2 To the maximum extent permitted by applicable laws, regulations and rules, BeeSocials shall not be liable for any direct, indirect, special, consequential or other losses of any kind (including but not limited to a loss in revenue, profits and loss of use or data), arising out of or in connection with the transfer of ETH, issue and storage of BEE Tokens or otherwise related to these Contribution Terms, whether based in tort, contract or any other legal or equitable basis.
12.3 The limitations set out in 12.1 and 12.2 will not exclude liability for gross negligence, fraud or intentional or willful misconduct.

13. Risks
The Contributor acknowledges and understands that transferring ETH to the Smart Contract System, the creation and issue of BEE Tokens and the development and deployment of the BeeSocials platform carries significant financial, regulatory and reputational risks. The Contributor acknowledges, understands and assumes the following risks:
13.1 The Smart Contract System and the underlying software are still in the early development stage. There is no warranty or assurance that the process of creating Tokens will be uninterrupted or error-free and there is a risk that the software may contain defects, weakness, vulnerabilities, viruses or bugs which could cause the loss of contributions and/or Tokens.
13.2 The regulatory status of distributed ledger technology is unclear or unsettled in many jurisdictions. It is unclear how any jurisdictions may apply current regulation to this type of technology and its applications. It is also unclear how or whether any jurisdictions will implement new legislation relating to distributed ledger technology. Any such changes in legislation or application of law could negatively impact BeeSocials. BeeSocials may cease operation in certain jurisdictions in the event that regulatory actions, changes in law or regulation make it undesirable or illegal for BeeSocials to operate in that Jurisdiction.
13.3 The Smart Contract System and BEE Tokens may require modifications if certain jurisdictions apply existing regulations or introduce new regulations addressing the technology used to create BEE Tokens.
13.4 There is no guarantee or assurance that you will receive any benefits through the Tokens you hold. A lack of public interest, funding, and commercial success could lead to the abandonment of the creation and distribution of the BEE Tokens.
13.5 If the contributor’s private key or passwords for their Ethereum wallet containing BEE Tokens is lost or stolen, the BEE Tokens will permanently be lost. Any third party that gains access to the Contributors private key may be able to misappropriate the Contributors Tokens.
13.6 The Smart Contract System, the underlying software application and the BeeSocials crowd sale website(ico.beesocials.com) and the BeeSocials Platform may be exposed to attacks by hackers or other individuals including, but not limited to malware attacks, denial of service attacks, consensus-based attacks, Sybil attacks, smurfing and spoofing. Any such successful attacks could result in loss of BEE Tokens or ETH, adversely affecting BeeSocials and our ability to develop the platform and derive usage or functionality from Tokens.
13.7 The Blockchain used for the Smart Contract System is susceptible to mining attacks. Any successful attacks pose a risk to the Smart Contract, proper execution and sequencing of Token transactions and proper execution and sequencing of contract computations.
13.8 The wallet or wallet service used to make contributions must conform to the ERC20 token standard in order to be technically compatible with BEE Tokens. If the contributor’s wallet or wallet service used does not meet this standard, the contributor may not be able to gain access to their BEE Token.
13.9 The BeeSocials platform is still in development stage and will need to go through substantial development work. It may go through significant conceptual, technical and commercial changes before release. As a part of the development, the BEE Tokens may require an upgrade. If the contributor decides not to participate in such upgrade, the contributor may no longer be able to use their BEE Tokens and any non-upgraded Tokens may lose their functionality.
13.10 BEE Tokens are uninsured unless you specifically obtain private insurance to insure them. In the event of loss of loss of utility value, there is no public insurer or private insurance arranged by BeeSocials to offer recourse.
13.11 The Contributor is solely responsible for determining what, if any, taxes apply to their BEE Token transactions. Neither BeeSocials nor any other BeeSocials Party is responsible for determining the taxes that apply to the Contributors Token transactions.
13.12 Contributions received are used to fund the maintenance and development of the BeeSocials platform. The contributions received are denominated in Ether, NEO, Bitcoin Cash, Litecoin or Dash and may be converted into other cryptographic and fiat currencies. If the value of Ethereum or other currencies fluctuates unfavorably during or after the contribution period, BeeSocials may not be able to fund development or be able to maintain the BeeSocials platform in the manner it was intended.
13.13 It is possible that the BeeSocials platform may no longer be viable to operate and the company may dissolve. This could be the result of fluctuation in Ethereum, Cryptographic or other fiat currencies, decrease in the BEE Tokens utility due to negative adoption of the BeeSocials platform, failure of commercial relationships, intellectual property ownership challenges or other reasons, the BeeSocials platform may no longer be viable to operate and the company may dissolve.
13.14 BEE Tokens contain no governance rights. All decisions involving BeeSocials and BEE Tokens will be made by BeeSocials acting in its sole and absolute discretion including but not limited to, decisions to discontinue the BeeSocials platform, create and issue more BEE Tokens for the use in the BeeSocials platform or to sell or liquidate BeeSocials. BeeSocials does not guarantee that decisions made will not adversely affect the BeeSocials platform and/or the BEE Tokens held by contributors.
13.15 Cryptographic Tokens such as BEE Tokens are new and untested technology. In addition to the risks set out in clause 13, there may be other associated risks with acquisition, storage, transfer and use of BEE Tokens, including those that BeeSocials may not be able to anticipate.
13.16 Voucher exchange and token buyback programs: BeeSocials intends on using profits from the platform to run these two programs. You understand that due the risks mentioned above, but not limited to, BeeSocials may be unable to generate a profit and may not be able to run the voucher exchange and token buyback programs. You understand this risk and shall not hold BeeSocials liable for any loss of fund incurred.

14. Representations and Warranties of the Contributor
By making a contribution (i.e. transferring ETH or other cryptocurrency to BeeSocials) for the purchase of Tokens, you hereby represent and warrant that:
14.1 You have read and understand these Contribution Terms, you have the necessary authority and consent to accept these Contribution terms, to enter in to a binding agreement with BeeSocials
14.2 You are not a citizen, resident (tax or otherwise) or a green card holder of the United States of America or a Citizen or a resident of the People’s Republic of China.
14.3 You have sufficient knowledge and experience in business and financial matters, including a sufficient understanding of Blockchain or cryptographic tokens, smart contract Systems, storage mechanisms (such as digital or token wallets), Blockchain-based software systems and Blockchain technology, to be able to evaluate the risks and merits making a contribution for BEE Tokens, including but not limited, to the matters set forth in these Contribution Terms, and are able to bear the risks thereof, including loss of all amounts paid, loss of BEE Tokens, and liability to the BeeSocials Parties and others for its acts and omissions, including with limitation those constituting breach of this Agreement, negligence, fraud or willful misconduct. The Contributor has obtained sufficient information in order to make an informed decision to purchase BEE Tokens.
14.4 You understand that the BEE Tokens confer only a limited potential future right or expectation to use and interact with the BeeSocials platform. BEE Tokens do not confer any other rights of any kind in relation to the BeeSocials platform including, but not limited to, any voting, distribution, redemption, liquidation, proprietary or other financial or legal rights.
14.5 You represent and warrant that you are 18 years of age or older.
14.6 If you are making a contribution for the purchase of Tokens for or on behalf of an entity, such entity is duly incorporated, registered and validly existing under the applicable laws of the jurisdiction in which the entity is established.
14.7 If you are making a contribution on behalf of a person or entity, you must be authorized to accept these Contribution Terms and enter into a binding agreement with BeeSocials on such entity or person’s behalf.
14.8 The contribution you are making is for the purpose of developing, testing, deployment and operation of the BeeSocials Platform and to potentially use and interact with the BeeSocials Platform at a future time. The contribution you are making is not for any other purpose, including, but not limited to, any investment, speculative or other financial purpose.
14.9 You represent and warrant that any contributions you make are not derived from any unlawful activities, including, but not limited to, money laundering or terrorist financing activities.
14.10 You represent and warrant that you will not use the BEE Tokens to finance, or engage in, or otherwise support any unlawful activities.
14.11 The contributor shall make a contribution to the Smart Contract System from an Ethereum wallet which is registered in their name or in the name of the person who is authorized to make transfers for the purpose of contributing to the Smart Contract System. The Contributor or the authorized person must not be located in or a resident of any country or territory that has been designated by the Financial Action Task Force as a “non-cooperative country or territory.”
14.12 The Contributor warrants that making contributions and receiving Tokens is not unlawful or prohibited by the laws of the contributor’s jurisdictions or the laws of any jurisdiction they are subject to and any contributions will be made in full compliance with all applicable laws of any and all jurisdictions the Contributor is subject to.
14.13 The contributor warrants and represents that they are not a citizen of or resident or domiciled in any jurisdiction in which it’s unlawful to participate in a Token generation Event or similar activity.
14.14 The Contributor is not the subject of any sanctions administered or enforced by any country, government or international authority or resident or established (in the case of a corporate entity) in a country or territory that is the subject of a country-wide or territory wide sanction imposed by any country or government or international authority.
14.15 The Contributor warrants and represents that the acceptance of these Contribution Terms and the entry into a binding agreement shall not result in any violation or be in conflict with any provision of any judgment, decree or order imposed on the Contributor and/or any material agreement or obligation which the Contributor is bound.

15. Eligibility
15.1 You are not eligible to make a contribution to the BeeSocials Token sale if you are a citizen, resident (tax or otherwise) or a green card holder of the United States of America or a Citizen or a resident of China.
15.2 You are not eligible to make a contribution to the BeeSocials Token sale if you are a citizen, resident (tax or otherwise) of the People’s Republic of China.

16. Taxation
16.1 The Contributor is solely responsible for determining what, if any, taxes apply to their BEE Token transactions. Neither BeeSocials nor any other BeeSocials Party is responsible for determining the taxes that apply to BEE Token transactions.

17. Miscellaneous
17.1 The Contributor agrees that if any term, clause or provision of these Contribution Terms is found illegal, void or unenforceable (in whole or in part), then such term, clause or provision shall be severable from these Contribution Terms without affecting the validity or enforceability of any remaining part of that term, clause or provision, or any other term, clause or provision of these Contribution Terms, which shall continue to be in full force and effect.
17.2 These Contribution Terms constitutes the entire agreement between you (“the Contributor”) and BeeSocials relating to the Smart Contract System and purchase and use of the BEE Tokens. These Contribution terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without the prior written consent of BeeSocials, and BeeSocials failure to assert any right or provision under these Contribution terms shall not constitute a waiver of such right or provision. Except as otherwise provided herein, these Contribution terms are intended solely for the benefit of the parties and are not intended to confer third party beneficiary rights upon any other person or entity.
17.3 The contributor acknowledges and agrees that they have not relied on any oral or written statements, warranties, assurances or representations made prior to their acceptance of these terms, other than those set out within these Contribution terms. The Contributor hereby waive any and all rights and remedies which might otherwise be available in relation to such Pre-Contractual Statements.
17.4 These Contribution Terms and any dispute or claim arising out of or in connection with their subject matter or formation (including non-contractual disputes and claims) shall be governed by and construed in accordance with the laws of the United Kingdom.
17.5 The Contributor understands and accepts that the network of miners will be ultimately in control of the Smart Contract System. The Contributor understands that a majority of these miners could agree at any point to make changes to the Smart Contract System and to run a new version of the Smart Contract System. This could lead to BEE Tokens losing intrinsic value.
17.6 The Contributor acknowledges and agrees that these Contribution Terms do not constitute an offer to sell, a solicitation of an offer to buy or an interest in any jurisdiction in which it is unlawful to make such an offer or solicitation.
17.7 The Contributor understands nothing in these Contribution Terms, including, but not limited to the transfer of ETH to the Smart Contract System and the receipt of Tokens, shall be deemed to create any form of partnership, joint venture or any other similar relationship between the Contributor and BeeSocials and/or other individuals or third parties involved in the deployment and development of the Smart Contract System and the BeeSocials Platform.
